    I am trying to understand the concept of convertible bonds as they relate to stock price.... I invite criticism and correction please...

    Is the following situation an rough conceptual reflection (I fudged the numbers so they are not exact) of what is going on with SIRI and convertible bonds?

    SIRI, trading at $2.25/share, needs cash to pay of some XM debt, which they needed to do to merge. They say "Hey we need some cash! Who wants some bonds??" At some points it becomes clear that they will not be able to obtain the necessary cash through standard bonds... their choices are to negotiate a ridiculous interest rate of offer a different type of bond with some other incentive for the bondholder... convertible bonds... Here is where I am cloudy...

    A convertible bond is convertible into shares at some point? When? how does the $1.50 figure play into this? What happens if SIRI is trading at $0.50/share when they mature? What has all the mention of the $3.80 or some figure in that area that would be required to be met for something to happen?? Any help or explanations would be greatly appreciated!

    Breaking the health of Sirius as a firm down into its simplest parts (and not the stock price, which is a whole different ballgame) i am trying to itemize all implications and factors here.

    health of financial sector as a whole---> availability of credit

    Industry Penetration, Customer Sentiment, Auto Sales, Competition ---> Amount of Sirius cash and liquid assets ----> availability of credit (or hopefully ability to satisfy debt outright)

    Industry Penetration, Customer Sentiment, Auto Sales, Competition ---> Improvement of Sirius's Cash Flow and Balance Sheet ----> availability of credit

    Assuming the availability of credit or the cash to satisfy the long term debts as they become due is crucial to the survival of the firm as a stand alone company, I am sure there are more correlations and factors to be proposed. Thoughts?

    I wonder if SIRI had a backroom deal with Cramer to push the merger... then it expired when the merger was approved and Cramer was allowed to vent his true feelings... the door can swing both ways....

    Vicar of Value - I welcome your comments and insight as much as all the bulls that post - I just ask that you (and all the other bears) try to be less condescending and insulting to the stockholders of SIRI who are choosing to hold onto their shares through these tough times. Your outlook is negative, and maybe you feel very sure of your outlook - please just respectfully allow me to disagree without implying that I am stupid or gullible or naive or blind or in denial.

    I would get into more debates/arguments on these sights, but they too often just degenerate into personal insult contests.

  • Sirius XM's Long Road
    does anyone else think Cramer's about face on this is the single biggest turnaround an "analyst" has has pulled. he would do his credibility a service by giving an interview or dedicating a few minutes of his show to explain why he thought what he thought back then, why he thinks what he thinks right now, and what exactly caused the shift in his positions. One possible answer is that he did not foresee refinancing/stock-dilu... action the firm took to consumate the closing. But he should say that. That last gloom and doom clip of him comes off like it was his position all along.

    In fact, if someone is into video editing, I think a funny youtube clip would be the two somehow edited together.

    And for those who say that Cramer doesn't affect the stock - this is a speculative stock. Like presidential elections, the single stockholder/voter holds little control over the strock price/election result, but it is how they flock that determines the outcome. And, Cramer and people like him affect these how the masses flock.

    I wonder how much of the price drop can be attributed to the hoopla about a reverse split - when the whole thing was just a spin of a very politician-like answer by Mel Karmazin about the possibility.
